商業(yè)誠(chéng)信約定書(shū)（2024年4月16日版）

為確保雙方合作過(guò)程中共同遵守商業(yè)誠(chéng)信行為規(guī)范、制止商業(yè)賄賂行為、維護(hù)各自及雙方共同的合法權(quán)益，保證甲乙雙方商業(yè)合作（下稱(chēng)“合作”）關(guān)系健康有序發(fā)展，經(jīng)友好協(xié)商，甲、乙雙方（甲方下稱(chēng)“360集團(tuán)”，乙方下稱(chēng)“合作伙伴”）就有關(guān)雙方合作過(guò)程中的誠(chéng)信事宜達(dá)成本商業(yè)誠(chéng)信約定書(shū)（下稱(chēng)“本約定書(shū)”）：

1. 除360集團(tuán)與合作伙伴雙方簽署之協(xié)議或其他相關(guān)文件上載明之合作條件與價(jià)格外，一方保證不得以任何借口向另一方、另一方的關(guān)聯(lián)公司及與合作有關(guān)的任何第三方的雇員或管理人員、相關(guān)工作人員（包括政府機(jī)構(gòu)職員，以下同），直接或間接，進(jìn)行賄賂或給付其他不正當(dāng)利益（一方人員采用商業(yè)賄賂的行為，應(yīng)當(dāng)認(rèn)定為該方的行為），包括但不限于：

1.1 以金錢(qián)方式（包括現(xiàn)金，銀行卡，有價(jià)證券，如購(gòu)物卡、提貨單、娛樂(lè)場(chǎng)所會(huì)員卡、打折卡、代幣券、低于市場(chǎng)價(jià)格的貸款或其它優(yōu)惠等）賄賂；

1.2 以實(shí)物方式（包括贈(zèng)送或借予高檔生活用品、奢侈消費(fèi)品、工藝品、汽車(chē)、住房等實(shí)物）賄賂；

1.3 以消費(fèi)方式（包括娛樂(lè)消費(fèi)、旅游、減免債務(wù)、提供借款和擔(dān)保等財(cái)產(chǎn)性利益，國(guó)內(nèi)或國(guó)外考察等方式）或者報(bào)銷(xiāo)各種費(fèi)用等方式賄賂；

1.4 在帳外暗中給予單位或者個(gè)人回扣（即以現(xiàn)金、實(shí)物或者其他方式退給對(duì)方單位或者個(gè)人的一定比例的商品價(jià)款，但未在依法設(shè)立的反映對(duì)方生產(chǎn)經(jīng)營(yíng)活動(dòng)或者行政事業(yè)經(jīng)費(fèi)收支的財(cái)務(wù)帳上按照財(cái)務(wù)會(huì)計(jì)制度規(guī)定明確如實(shí)記載的）；

1.5 以其他任何方式（包括以朋友名義提供各種就學(xué)、榮譽(yù)、特殊待遇、介紹工作、活動(dòng)抽獎(jiǎng)、賭博中故意輸錢(qián)、性賄賂等方式）賄賂。

2. 雙方確認(rèn)以下行為不為商業(yè)賄賂：

2.1 基于商業(yè)禮儀，贈(zèng)送總價(jià)為市場(chǎng)價(jià)人民幣500元以下的小禮品、地方特產(chǎn)；

2.2 基于商業(yè)接待禮儀，提供適當(dāng)?shù)墓ぷ鞑�、住宿、交通等與業(yè)務(wù)履行相關(guān)的工作方便；

2.3 工作需要的樣品、設(shè)備等輔助類(lèi)工具；

2.4 以明示方式給予對(duì)方折扣，且已如實(shí)入賬。

3. 一方保證不為謀取不正當(dāng)利益，誘使另一方、另一方的關(guān)聯(lián)公司及與合作有關(guān)的任何第三方雇員或管理人員、相關(guān)工作人員接受或共同編造虛假議價(jià)資料、影響交易價(jià)格或交易之達(dá)成。

4. 如合作伙伴的股東、監(jiān)事、經(jīng)理、高級(jí)管理人員、合作項(xiàng)目負(fù)責(zé)人及項(xiàng)目成員系360集團(tuán)或其關(guān)聯(lián)公司的員工或其利害關(guān)系人的，合作伙伴承諾在合作開(kāi)始前完成內(nèi)部自查，并以書(shū)面方式如實(shí)、全面告知360集團(tuán)。

5. 以下事項(xiàng)為未經(jīng)360集團(tuán)及/或其關(guān)聯(lián)公司審批同意前禁止的利益沖突事項(xiàng)，合作伙伴承諾在合作開(kāi)始前完成內(nèi)部自查，如有利益沖突事項(xiàng)，須以書(shū)面方式如實(shí)、全面告知360集團(tuán)。如有違反，360集團(tuán)有權(quán)依據(jù)本約定書(shū)的約定或法律規(guī)定終止與合作伙伴的所有業(yè)務(wù)合同及合作：

5.1 合作伙伴系360集團(tuán)或其關(guān)聯(lián)公司解除勞動(dòng)合同并列入失信名單的員工，所開(kāi)設(shè)、投資、實(shí)際控制，或代表、代理、授權(quán)業(yè)務(wù)的公司。

5.2 合作伙伴系360集團(tuán)離職員工在離職之日起一年內(nèi)，所開(kāi)設(shè)、投資或?qū)嶋H控制的公司，合作伙伴在該離職員工原職責(zé)或業(yè)務(wù)管理范圍內(nèi)，禁止成為360集團(tuán)供應(yīng)商。

6. 一方保證不為自己或他人的利益，利誘或唆使另一方及與合作有關(guān)的任何第三方雇員或管理人員、相關(guān)工作人員做出違背職務(wù)之行為。

7. 一方發(fā)現(xiàn)對(duì)方人員有受或索賄行為以及其他不良商業(yè)行為時(shí)，可隨時(shí)向?qū)Ψ酵对V專(zhuān)員或其他監(jiān)察部門(mén)舉報(bào)。合作伙伴如果主動(dòng)向360集團(tuán)如實(shí)說(shuō)明情況并提供有效證據(jù)，360集團(tuán)可以視情況繼續(xù)保持與合作伙伴的合作，同時(shí)將在法律允許的范圍內(nèi)減輕甚至免于追究合作伙伴相應(yīng)的法律責(zé)任。信息提供者提供的有關(guān)商業(yè)賄賂行為的信息一經(jīng)查實(shí)，并協(xié)助360集團(tuán)成功查處舞弊案件，360集團(tuán)將給予信息提供者最低5000元的現(xiàn)金獎(jiǎng)勵(lì)。 一方投訴舉報(bào)對(duì)方工作人員或代理人任何不當(dāng)行為，不會(huì)影響雙方協(xié)議的繼續(xù)履行。

8. 若一方違反了本商業(yè)誠(chéng)信條款，則視為嚴(yán)重違約。守約方有權(quán)以書(shū)面形式通知違約方單方終止雙方之間有效存續(xù)的所有協(xié)議，同時(shí)保留依法采取進(jìn)一步法律措施的權(quán)力。違約方應(yīng)向守約方支付相應(yīng)的違約金，如違約金不足以彌補(bǔ)守約方損失的，違約方還應(yīng)承擔(dān)由此給守約方帶來(lái)的一切損失。違約金包括但不限于以下形式，以最高為準(zhǔn)：

①支付10萬(wàn)元違約金；

②支付合作期間合同約定總金額的30%作為違約金；

③支付因違反本約定所獲不正當(dāng)利益的總額作為違約金。

同時(shí)，如合作伙伴違約，360集團(tuán)有權(quán)視情節(jié)嚴(yán)重情況，將該合作伙伴及其關(guān)聯(lián)公司一同列入失信名單，即為永不合作的供應(yīng)商。凡是被列入失信名單的合作伙伴，360集團(tuán)有權(quán)立即終止雙方現(xiàn)有合作。除此以外，如合作伙伴出現(xiàn)嚴(yán)重違反國(guó)家相關(guān)法律、公司規(guī)定的行為，包括但不限于經(jīng)濟(jì)詐騙、泄露公司商業(yè)秘密、弄虛作假等情況，360集團(tuán)亦有權(quán)視情況將合作伙伴及其關(guān)聯(lián)公司列入失信名單，永不合作。同時(shí)合作伙伴應(yīng)向360集團(tuán)承擔(dān)相應(yīng)責(zé)任，賠償360集團(tuán)因此所產(chǎn)生損失。如合作伙伴違反本協(xié)議或根據(jù)本協(xié)議規(guī)定需向360集團(tuán)支付違約金或損失賠償金的，360集團(tuán)將告知合作伙伴相關(guān)官方收款賬號(hào)及收款信息，供合作伙伴進(jìn)行對(duì)公匯款，具體以360集團(tuán)屆時(shí)書(shū)面通知為準(zhǔn)。

9. 本約定書(shū)適用與一方發(fā)生業(yè)務(wù)往來(lái)的所有相關(guān)方（包括但不限于供應(yīng)商、客戶(hù)、外協(xié)廠商等合作單位）。

10. 為本約定書(shū)之目的，本約定書(shū)中所稱(chēng)“關(guān)聯(lián)公司”就某公司而言是指通過(guò)股權(quán)、協(xié)議或其他方式控制該特定公司，受該特定公司控制或與該特定公司同為某一集團(tuán)（公司）或個(gè)人所控制的其他公司。

11. 為本約定書(shū)之目的，本約定書(shū)中所稱(chēng)“利害關(guān)系人”是指某人的近親屬關(guān)系（即夫妻關(guān)系、本人的父母及子女）、近姻親關(guān)系（包括配偶的父母、配偶的兄弟姐妹及其配偶等）、三代以?xún)?nèi)旁系親屬及其配偶關(guān)系(包括兄弟姐妹、堂兄弟姐妹、表兄弟姐妹、叔、伯、姑、舅、姨、侄子女、外甥子女及其配偶），以及經(jīng)濟(jì)上有依賴(lài)關(guān)系或其他利益關(guān)系的自然人、法人和非法人組織等。

12. 本商業(yè)誠(chéng)信條款同時(shí)以中文和英文書(shū)就，兩個(gè)版本具有同等法律效力。若兩個(gè)版本在存在任何不一致、歧義或沖突，應(yīng)以中文版本為準(zhǔn)。

Commercial Integrity Agreement

For the purpose of compliance of commercial integrity policy, prevention of commercial bribery, safeguard of both parties’ legitimate rights and interests, and sustainable development of business cooperation ("Cooperation"), 360 Group and Cooperation Partner, on the basis of friendly negotiation, reach this Agreement on commercial integrity in connection with their Cooperation as follows:

1. Except for the terms, conditions and/or prices set forth in the agreement(s) or other relevant documents concluded by both parties, each party warrants and represents that it shall not, directly or indirectly, bribe or give other illegal or improper interests to the employees, officers, managers, directors, agents or their respective successors, or any other relevant personnel (including the government staff) of the other party or its affiliates, or any third party, involved in the Cooperation (hereinafter collectively referred to as “Covered Person”, the bribery act of one party’s employees, officers, managers, directors, agents or their respective successors shall be recognized as the act of such party), in the following manners:

1.1 Bribing with money, such as cash, bank card, securities including but not limiting gift card, bill of lading, entertainment membership card, discount coupon, voucher, loans with lower loaning rate or other preferential terms, etc.:

1.2 Bribing in kind, including but not limited to contributing or providing high-end life supplies, luxury commodities, arts and crafts, automobiles, residences:

1.3 Bribing with consumption, including but not limited to paying for entertainment, travel, or domestic or overseas visits, debt reduction or exemption, other property benefits such as offering loan or guarantees, as well as reimbursements for all kinds of consumption:

1.4 Giving kickbacks to the Covered Person in private (i.e., making a certain portion of the payment to the Covered Person in cash, in-kind, or other ways, which, however, is not reflected expressly and truthfully in the accounting book that records the counterparty's business activities or administrative expenses in accordance with the financial accounting institutions and relevant laws and regulations)；

1.5 Bribing in any other manners, including but not limited to providing education opportunities, granting honors, giving special treatment, offers of employment, lotteries awards, losing money in gambles intentionally and sexual bribery.

2. Both parties agree that the following activities are not deemed as commercial bribery:

2.1 Giving gifts or local specialties worth less than RMB 500 on account of business courtesies;

2.2 Providing business meal, accommodation, transportation and other relevant working amenities on account of business reception courtesies;

2.3 Providing auxiliary tools required at work such as samples and equipment;

2.4 Offering discounts explicitly and recording them in the accounting book truthfully.

3. Each party warrants and represents that it will not induce any of the Covered Person to accept or jointly fabricate false negotiation materials, or to affect the trading price or conclusion of the deal for the purpose of acquiring any illicit benefits.

4.If the Cooperation Partner's shareholders, supervisors, managers, senior managers, directors and/or team members in connection with the Cooperation are employees or interested persons of 360 Group or its affiliates, the Cooperation Partner promises to complete internal self-examination and notify faithfully and thoroughly 360 Group in writing before the commencement of Cooperation.

5. In case that the Cooperation Partner bears the same meaning as the Company defined below, dealing with 360 Group or its affiliates will constitute conflicts of interest and will be prohibited unless approved by 360 Group and/or its affiliates. The Cooperation Partner promises to complete internal self-examination before the commencement of Cooperation and then give 360 Group a faithful and thorough written notification if conflicts of interest exist. In case of any violation of the foregoing obligations by Cooperation Partner, 360 Group or its affiliates shall be entitled to terminate all business contracts or cooperation with the Cooperation Partner according to the agreement or any related laws or regulations. The Company herein means:

5.1 a company established, invested, actually controlled, represented, or acted by former employees of 360 Group or its affiliates, who were placed into the List of Dishonest Persons; and/or

5.2a company that is established, invested or actually controlled by former employees of 360 Group, and that is prohibited to serve as a supplier to 360 Group in areas where fell into the scope of such former employee’s previous job duties or management duties within one (1) year from the date of employment termination.

6. One party promises not to induce or instigate any of the Covered Person to carry out any misconducts in violation of their duties or obligations for the interests of itself or any third party.

7. One party may report to the other party's complaint commissioner or supervisory departments at any time when it discovers any bribery act of the other party's personnel and/or any other business misconduct of the other party. If the Cooperation Partner takes the initiative to truthfully explain the situation to 360 Group or its affiliates with solid evidence, 360 Group may, at its own discretions, maintain the Cooperation with the Cooperation Partner, and/or may at the same time reduce or exempt corresponding legal liabilities of the Cooperation Partner. Once the information about commercial bribery provided by the information provider is verified, and it turns out to be a fraud case with the assistance of the information provider in the course of an investigation, 360 Group will reward the information provider minimum cash of 5,000 RMB. One party’s complaints and/or reports of any misconduct of the other party will not affect the performance of rights and obligations herein.

8. Once a party breaches the commercial integrity agreement, it is considered a material breach of contract. The innocent party is entitled to terminate all valid and subsisting agreements between the parties by the written notice to the defaulting party while reserving the right to take further legal measures in accordance with the law. The corresponding liquidated damages should be paid by the defaulting party, and if the liquidated damages are not sufficient to cover the losses of the innocent party, the defaulting party shall also bear all the losses brought to the innocent party as a result. Liquidated damages include, but are not limited to, the following forms, by the highest amount:

①Payment of liquidated damages of 100,000 RMB;

②Payment of 30% of the total contractual amount agreed as liquidated damages during the contractual period;

③Payment of all Improper Benefits thus obtained by the non-compliance of this agreement agreed as liquidated damages.

At the same time, if the partner is in breach of contract, 360 Group has the right to include the partner and its affiliated companies together in the List of Dishonest Persons, i.e. the supplier who will never be the business partner, depending on the seriousness of the situation. If the partner is included in the List of Dishonest Persons, 360 Group has the right to terminate the existing cooperation between the two parties. In addition, if the partner has serious violations of relevant domestic laws and company regulations, including but not limited to economic fraud, leakage of company commercial secrets, falsification, etc. 360 Group also has the right to include the partner and its affiliates in the List of Dishonest Persons as the case may be, and never cooperate. Meanwhile, the partner shall assume the corresponding responsibility for 360 Group and compensate for its losses incurred. In the event of a breach of this Agreement by the Partner, resulting in the Partner's obligation to pay liquidated damages or compensation for losses to 360 Group, 360 Group shall provide the Partner with the designated official bank account details and payment information for the partner to make a corporate remittance. The specifics details shall be subject to the written notification from 360 Group at that time.

9.The agreement applies to all relevant parties (including but not limited to suppliers, customers, outsourcing vendors and other parties in connection with the Cooperation) that have business dealings with one party hereof.

10. For the purpose of the agreement, "affiliates" herein refers to a company that controls or is controlled by another company via equity participation, agreement or other ways, or that is collectively controlled by the same group (corporation), entity or individual.

11. For the purpose of this agreement, the term "interested persons" herein refers to a person's close relatives (i.e. a spouse, parents and children), close family members (including spouse's parents, spouse's brothers and sisters and their spouses, etc.), collateral relatives within three generations and their spouses (including brothers and sisters, cousins, uncles, aunts, nephews, children of nephews and their spouses), as well as natural persons, legal persons and other organizations that are financially dependent on or have other interests with the person.

12. The agreement is written in both Chinese and English, and both versions shall have same legal binding force. If there is any inconsistency or ambiguity between these two versions, the Chinese version shall prevail.
